BillNip Foundation's Crisis Stabilization Program is sponsored by BillNip Foundation. Provides up to six months of direct bill relief for individuals in verified hardship, paid directly to the biller.

Effective Date: June 23, 2026 Please read these Terms & Conditions ("Terms") carefully before using the BillNip Foundation website, donation pages, application forms, BillNip Assist, Crisis Stabilization, or any related Foundation services, features, programs, or donation tools (collectively, the "Foundation Services").

By accessing or using the Foundation Services, submitting an application, making a donation, participating in a Foundation program, or creating an account connected to a Foundation program, you agree to these Terms. If you do not agree, please do not use the Foundation Services. ## 1.

Overview of BillNip Foundation BillNip Foundation is a nonprofit charitable organization that operates programs designed to help eligible individuals and families receive support for verified bills.

The Foundation's programs may include, but are not limited to: * **BillNip Assist:** Supports eligible public servants, including approved categories such as teachers, first responders, veterans, active duty military, and other public servant groups approved by the Foundation. * **Crisis Stabilization:** Supports eligible individuals or families experiencing verified hardship.

**Important Notice on Funding Availability:** The availability of any and all Foundation programs, including BillNip Assist and Crisis Stabilization, is strictly dependent on the availability of charitable funds allocated for such purposes. The Foundation can only provide assistance if specific, sufficient funds are available.

There may be times when no funds are available for any program, and there is explicitly no guarantee that any funds will be available for the Assist Crisis or Stabilization program at any given time. The Foundation does not send cash directly to recipients. Assistance is provided by applying funds directly to verified bills through approved payment infrastructure.

## 2. Charitable Purpose and Charitable Class The Foundation operates its programs to serve charitable purposes and charitable classes approved by the Foundation. Foundation programs are designed to support broad or indefinite groups of eligible individuals, such as public servants, individuals or families facing verified hardship, or other categories approved by the Foundation.

The Foundation does not operate for the private benefit of any specific donor, applicant, recipient, employee, officer, director, vendor, related entity, or other private party. The Foundation maintains objective eligibility standards, verification procedures, and recordkeeping practices to support program decisions. ## 3.

Relationship Between BillNip Foundation and BillNip Corp BillNip Foundation and BillNip Corp are separate entities. BillNip Foundation operates the charitable programs, receives charitable donations, verifies applicants, determines eligibility, controls Foundation funds, authorizes charitable assistance, and maintains program records.

BillNip Corp may provide technology, payment infrastructure, bill-payment support, reporting, reconciliation, and related services used by the Foundation. The Foundation may also work with banks, payment processors, biller networks, verification providers, software providers, professional advisors, and other third-party service providers to operate its programs.

Any services provided to the Foundation by BillNip Corp or other vendors should be governed by applicable agreements, and policies, conflict-of-interest procedures, and board-approved processes. ## 4. Eligibility to Use Foundation Services You must be at least 18 years old and a U.S. resident to use the Foundation Services, make a donation, submit an application, or participate in Foundation programs.

By using the Foundation Services, you confirm that: * You are at least 18 years old. * You are legally able to use the Foundation Services. * All information you provide is accurate and complete.

* You will update information if it changes. * You will not use the Foundation Services for fraud, misrepresentation, money laundering, prohibited transactions, or any unlawful purpose. The Foundation may suspend, restrict, deny, or terminate access to Foundation Services if eligibility requirements are not met or if the Foundation believes there is fraud, abuse, misrepresentation, compliance risk, or violation of these Terms.

## 5. Foundation Programs Foundation programs are charitable programs operated by BillNip Foundation. Eligibility criteria may vary by program.

The Foundation may consider factors such as job type, hardship, bill type, location, income, urgency, documentation, prior assistance, available funding, donor restrictions accepted by the Foundation, program limits, and other criteria adopted by the Foundation. The Foundation has sole discretion to approve, deny, prioritize, pause, modify, or close applications and program requests.

> **No Guarantee of Assistance:**No applicant is guaranteed assistance. All approvals and program rollouts are conditional upon the active availability of Foundation funds. Applications may be rejected, delayed, or closed without action solely due to a lack of available program funding, particularly within the Crisis Stabilization initiative.

## 6. Applicant Responsibilities Applicants must provide accurate, current, and complete information. Depending on the program, applicants may be required to provide: * Full legal name and contact information.

* Work email or other verification information. * Proof of employment or public servant status. * Proof of hardship or need.

* Bill details (Bill type, biller name, account number, current bill statement, amount due, and due date). * Any other documentation required by the Foundation. Applicants authorize the Foundation, approved service providers, and technology/payment partners to review, verify, process, and use this information as needed to evaluate eligibility, prevent fraud, process bill payments, operate the program, and maintain required records.

Providing false, misleading, incomplete, altered, or fraudulent information may result in denial, removal from the program, account restriction, repayment obligations, reporting to authorities, or other action. ## 7. Foundation Bill Verification Foundation-supported bills must be based on actual current bills or verified bill data.

Applicants may not arbitrarily set the amount eligible for Foundation support. The Foundation determines the eligible support amount based on reviewed and verified bill information. The Foundation may verify applicant eligibility, public servant or hardship status, bill ownership, biller availability, amount due, payment instructions, prior assistance history, and fraud risk.

The Foundation may request additional information before approving or paying any bill. ## 8. Donor Contributions Donors may make charitable contributions to BillNip Foundation through approved donation channels and may express a preference to support a specific program, category of need, or general fund.

All donations are made to BillNip Foundation. The Foundation retains full discretion and control over all donated funds. Donor preferences are advisory only and do not create a legal right for any specific applicant, recipient, bill, person, or account to receive assistance.

If the Foundation cannot apply a donation according to a donor preference, the Foundation may redirect the donation to another eligible bill, applicant, program, or charitable use consistent with the Foundation's mission and policies. ## 9.

Flexible Donation Allocation and Operating Support To sustain program operations, verification integrity, and compliance infrastructure, the Foundation utilizes a dynamic allocation model for contributions made through the BillNip application or other approved Foundation donation channels.

The Foundation's general operating and distribution target aims to allocate approximately 80% of a donor's total contribution directly toward verified bill payments, with approximately 20% allocated toward Foundation operating costs, compliance management, software licensing, payment rails, verification expenses, and administrative reserves.

> **Operational Flexibility Notice:**The 80/20 distribution ratio represents an idealized operational target and financial benchmark for the allocation of public support across the fiscal year.

Donors and applicants acknowledge that actual, finalized allocations may fluctuate dynamically depending on real-time transaction processing fees, individual bill configurations, shifting compliance environments, accounting adjustments, or independent financial audit requirements.

The Foundation explicitly retains total, absolute discretion to adjust these internal allocation formulas, percentage baselines, and cost-recovery metrics at any time without prior notice to optimize program viability and satisfy legal compliance. ## 10.

Foundation FBO / Custodial Account and Operating Account Foundation donations may settle into a Foundation-designated FBO or custodial account to hold and track donor payments, settlements, bill-payment allocations, operating allocations, fees, and reserves.

After settlement, reconciliation, and any required reserve period, released operating funds may be swept from the Foundation FBO/custodial account to a separate Foundation operating account according to a schedule adopted by the Foundation. ## 11. Mandatory Use of BillNip Infrastructure and Direct-to-Biller Payments The Foundation requires strict operational security, automated fraud prevention, and verifiable accounting paths.

Accordingly, the mandatory and exclusive prerequisite for receiving any form of charitable assistance is that the recipient, the applicant, and the respective bill data must actively utilize and integrate with the BillNip platform, application interface, and its proprietary verification infrastructure. The Foundation will not disburse, authorize, or process funds through any method outside of the formal BillNip platform environment.

If an applicant cannot successfully register, verify, and route their requests through the functional BillNip application infrastructure, or if a specific biller refuses or fails to accept payment through the automated BillNip clearing networks, the application will be deemed automatically ineligible and canceled.

The Foundation does not send assistance funds directly to applicants' personal bank accounts, debit cards, wallets, or personal payment accounts. Payments are executed strictly direct-to-biller through approved financial networks, and the Foundation assumes no liability for the timeframe or posting mechanics of external billing networks. ## 12.

No Guarantee of Full Payment, Funding, or Continued Support The Foundation does not guarantee that any bill will be paid in full. Foundation assistance may be applied as a payment toward a verified bill depending on the donation amount, Foundation allocation model, available funds, program limits, donor preferences, accepted restrictions, payment processing, biller acceptance, and Foundation policy.

> Funding Contingency: Any capability of the Foundation to offer support is fundamentally limited by its current, available liquidity. The Foundation gives no promise, warranty, or guarantee that funds will be continuously available or available at all for distribution. Crisis Stabilization funds are highly variable and may be entirely non-existent at the time of an applicant's emergency.

The Foundation does not guarantee ongoing or recurring assistance. Any approved assistance is limited to the specific program, transaction, or support period approved by the Foundation. ## 13.

Recurring Donations Donors may have the option to create recurring donations, which will continue until canceled or modified by the donor through available account settings. The Foundation may pause, cancel, or modify recurring donation functionality at any time. ## 14.

Donor Receipts and Tax Matters BillNip Foundation intends to provide donation receipts for contributions made through approved Foundation channels. Donors are responsible for determining whether a donation is deductible and for consulting their own tax advisor. The Foundation does not provide tax, legal, accounting, or financial advice.

Unless expressly stated otherwise in the donation receipt, no goods or services are provided to donors in exchange for donations. ## 15. Refunds, Reversals, and Failed Payments Donations are generally non-refundable.

However, the Foundation may issue a refund, reversal, reallocation, or correction in limited circumstances (e.g., duplicate transactions, processing errors, fraud, or biller payment failures). If a donor payment fails before settlement, no bill payment will be initiated. If a donor payment settles but later reverses, the Foundation may apply reserves, reverse pending allocations, or take other recovery actions.

If a bill payment fails after funds are allocated, the Foundation may retry payment, reallocate the funds to another eligible bill, or refund the donor when appropriate. ## 16. Privacy and Data Use The Foundation respects your privacy and is committed to protecting personal information.

The Foundation may collect and process information necessary to handle donations, issue receipts, review applications, verify eligibility, prevent fraud, and execute bill payments. The Foundation does not sell personal information to third parties for marketing purposes. Payment information is processed through secure third-party systems.

Applicant identity and sensitive personal information are never shown to donors. The Foundation may use anonymized, aggregated, or de-identified information for reporting, impact measurement, and program evaluation. ## 17.

Communications and Electronic Consent By using the Foundation Services, submitting an application, making a donation, or creating an account, you consent to receive communications electronically (via email, in-app notifications, SMS, or phone). Communications may include donation confirmations, tax receipts, application updates, verification requests, or legal notices. You are responsible for keeping your contact information accurate.

## 18. User Verification and Fraud Prevention The Foundation may require verification (identity checks, employment verification, bill verification, and fraud screening) before accepting an application, approving assistance, processing a donation, or completing a bill payment.

The Foundation may suspend, delay, deny, reverse, or restrict activity if it suspects fraud, abuse, money laundering, or a violation of these Terms, and may report suspicious activity to law enforcement or regulators.

You may not use the Foundation Services to provide false information, submit fraudulent applications, upload altered documents, misrepresent financial hardship, attempt to extract cash from the Foundation, manipulate donation systems, engage in illegal activity, or harass Foundation staff, donors, or applicants. The Foundation may take swift action against prohibited use, including permanent denial of services and legal action. ## 20.

Third-Party Services The Foundation may use third-party service providers (payment processors, financial institutions, biller networks, and identity verification tools) to operate its services. These third-party services are subject to their own terms and compliance timelines. The Foundation is not responsible for delays, failures, or errors caused by third-party providers, except as required by law.

## 21. Program Changes, Suspension, or Termination The Foundation may change, pause, suspend, limit, or terminate any program, feature, eligibility rule, donation option, support category, allocation model, payment method, or application process at any time. The Foundation may also expire applications or close support opportunities based on funding shortages, operational capacity, compliance reviews, or fraud prevention needs.

## 22. Conflicts of Interest and Private Benefit The Foundation intends to manage any actual or potential conflicts of interest according to applicable law, Foundation policies, and board-approved procedures. No Foundation funds may be used for private benefit, private inurement, or any purpose inconsistent with the Foundation's charitable mission.

Vendor and operating expenses must be reasonable and documented. The Foundation may maintain records related to applications, eligibility decisions, donor transactions, receipts, bill verifications, and program activity for as long as required by law, accounting standards, audit needs, or tax reporting requirements. ## 24.

Intellectual Property All Foundation names, logos, marks, content, text, designs, graphics, software, and technology are owned by BillNip Foundation, BillNip Corp, or their licensors. You may not copy, reproduce, modify, distribute, or use Foundation materials without explicit written permission. The Foundation Services are provided on an "as is" and "as available" basis.

The Foundation does not guarantee continuous availability, error-free operation, approval of any application, the availability of funds, full payment of any bill, acceptance of payment by a biller, or specific tax treatments. The Foundation disclaims all warranties to the fullest extent permitted by law. ## 26.

Limitation of Liability To the fullest extent permitted by law, BillNip Foundation, its directors, officers, employees, volunteers, contractors, affiliates, partners, and service providers will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to your use of the Foundation Services.

This includes damages related to application denial, funding unavailability, delayed payment, failed payment, or third-party errors. The Foundation's total liability will not exceed the amount of the donation or transaction directly at issue.

You agree to indemnify and hold harmless BillNip Foundation, its directors, officers, employees, volunteers, contractors, affiliates, partners, and service providers from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Foundation Services, your violation of these Terms, or any false or misleading information you provide. ## 28.

Governing Law, Binding Individual Arbitration, and Class-Action Waiver These Terms are governed by, and construed in accordance with, the laws of the State of California, without regard to conflict of law principles. **PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

** * **Mandatory Binding Arbitration:** Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms, the Foundation Services, any donation, or any application for charitable support, shall be settled exclusively by final, binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.

The place of arbitration shall be Los Angeles County, California, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. * **Waiver of Jury Trial:** You and BillNip Foundation explicitly waive any constitutional or statutory rights to go to court and have a trial in front of a judge or a jury. All claims must be resolved strictly through individual arbitration as detailed herein.

* Class-Action Waiver: You and the Foundation agree that each party may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a class or representative proceeding.

If this specific class-action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be deemed null and void, and disputes shall be brought exclusively in the state or federal courts located within Los Angeles County, California. ## 29. Updates to These Terms The Foundation may update these Terms at any time.

When changes are made, the Foundation will post the updated Terms on its website, in the app, or through another reasonable notice method. Continued use of the Foundation Services after updated Terms are posted means you accept the updates. ## 32.
