TRON Builders League (“TBL” or “Program”) is a long-term funding and incubation program designed to support innovative projects building on TRON and BTTC.
Unlike traditional hackathon competitions, TBL follows a structured yet flexible funding approach, prioritizing project growth, ecosystem impact, and long-term sustainability. By applying to or submitting information to TBL, Participant (“you,” “your,” “Project,” “Entrant”) and all members of your team agree to the following Rules, and the terms & conditions incorporated herein, as may be updated by Sponsor.
TBL is open to Individuals who are at least the age of majority where they reside as of the time of entry; teams of Eligible Individuals (“Teams”); and Organizations (including corporations, not-for-profit corporations and other nonprofit organizations, limited liability companies, partnerships, and other legal entities) that exist and have been organized or incorporated at the time of entry.
By applying to or submitting information participating in to TBL, Participant represents and warrants that they have the legal right and authorization from Project team members to do so, and that the material submitted constitutes their unencumbered intellectual property. Funding from TBL is not guaranteed and is determined solely by Sponsor.
Sponsor reserves the right to pause, discontinue or terminate the Program or portions thereof, at any time, or cause or for no reason at all. Funding awarded is provided in stages based on project milestones, community engagement, and demonstrated progress. Sponsor’s decisions to fund a project are tailored to each project's needs and potential.
Initial Evaluation – Upon joining and making a project submission, projects receive an initial assessment based on their roadmap, team, and unique value proposition. Milestone-Based Funding – Funds are released progressively as teams meet key deliverables and document progress. Discretionary Grants & Investments – TRON reserves the right to offer additional funding or investment opportunity to high-potential projects.
Approved funding must be used strictly for: Development & technical improvements Security audits & smart contract deployment Community growth & marketing Business expansion within the TRON ecosystem Misuse of funds may result in funding suspension or disqualification from TBL. 4.
Strategic Support & Capital Investment Sponsor reserves the right to explore deeper collaborations with select projects based on their potential, alignment with the ecosystem, and mutual agreement. This can include strategic funding, advisory support, or participation in governance structures where relevant.
Projects interested in a long-term partnership may propose collaboration models, such as token allocations, revenue-sharing mechanisms, or other mutually beneficial structures, in each instance subject to separate, agreed upon terms. 5. Project Documentation & Transparency 5.
1 Ongoing Documentation Requirement TBL is an ongoing program, and project teams must actively update their project thread to maintain eligibility for funding. Required updates include: Project Progress (%) – You must update their completion status regularly. Milestone Reports – You must Document achievements and development progress on the forum.
Community Engagement – You must respond to questions and provide updates on social channels. Failure to provide updates may result in funding delays or disqualification. 5.
2 Public Information & Confidentiality Project updates will be publicly available on the TBL forum. However, subject to Sponsor’s discretion, sensitive business or technical details may be shared privately upon request. 6.
Compliance & Risk Management 6.
1 Legal & Regulatory Compliance Projects must adhere to all applicable laws and regulations, including but not limited to: Compliance with local financial laws No engagement in fraudulent or misleading activities Proper disclosure of risks to users Entrant will indemnify, defend, and hold harmless Sponsor, its affiliates, and their respective directors, officers, employees, agents, partners, contractors, and assigns (collectively, the “Tron Group”) from and against any and all claims, liabilities, losses, damages, and expenses, including reasonable attorneys’ fees, which a Tron Group party may suffer due to, or arising out of Entrant’s (i) breach or failure to comply with the terms of this agreement; (ii) material misstatement of their representations and warranties contained in this agreement; (iii) violation of applicable law in performance of their duties contained in this agreement; (iv) conduct related to the performance of this agreement which infringes upon or misappropriates the intellectual property rights of Tron or a third party; or (v) recklessness, gross negligence, or willful misconduct, or that of Entrant’s affiliates or personnel; provided that Entrant will have no obligation to indemnify any Tron Group party if such liability is caused solely by Sponsor’s recklessness, gross negligence, or willful misconduct.
The Parties’ rights and obligations under this section shall survive the termination of the Program and agreement. 6.
3 Limitation of Liability IN NO EVENT SHALL TRON (OR ANY AFFILIATE THEREOF) BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNATIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER TRON WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
INCLUDING TRON’S INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL TRON’S LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT EXCEED THE GREATER OF $100 USD OR THE AMOUNTS PAID BY TRON TO YOU IN THE PRECEDING 6 (SIX) MONTHS UNDER THIS AGREEMENT FOR THE SERVICES, DELIVERABLES OR INVENTIONS GIVING RISE TO SUCH LIABILITY.
This Program and the subject matter related thereto is governed by the laws of Hong Kong SAR without regard to conflicts of laws provisions. In the event of any dispute, controversy, alleged breach, or alleged anticipatory breach arising under or relating to this Program (a “Dispute”), the parties each irrevocably waive the right to a trial by court regarding resolution of the Dispute.
In the event of a Dispute, the parties agree to promptly notify each other in writing regarding the Dispute (the “Dispute Notice”) and conduct discussions and negotiations to resolve the Dispute in good faith. Any resolution of such Dispute, which is mutually agreed to by the parties shall be set forth in a writing signed by the parties.
If such Dispute cannot be satisfactorily resolved by the parties within thirty (30) calendar days after issuance of the Dispute Notice, then such Dispute may then be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”), in accordance with the 2024 HKIAC Administered Arbitration Rules, or in the alternative, those Rules which are currently in effect, such rules are deemed to be incorporated by reference in this clause and may be found at https://www.
hkiac. org/. The seat of the arbitration shall be Hong Kong.
The language of the arbitration shall be English. The arbitrators shall have discretion to award reasonable costs and attorneys’ fees to the prevailing party. Judgment on the award may be entered in any court having jurisdiction.
No failure to exercise and no delay in exercising, on the part of either party, any right, power or privilege hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege hereunder preclude further exercise of the same right or the exercise of any other right hereunder.
Any attempt to manipulate funding, misrepresent progress, or engage in unethical behavior may result in immediate removal from TBL and potential legal action. 7. Amendments & Termination Sponsor reserves the right to modify these terms.
Sponsor may also terminate funding for any project at its discretion if it fails to meet expectations, violates the terms, or poses a risk to the ecosystem.
